Terms of Use

By accessing or using the AahaGPS platform, website, mobile applications, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you ("Customer" or "you") and Aahatec ("AahaGPS", "we", "our", or "us").

AahaGPS provides a cloud-based GPS vehicle tracking and fleet management platform that enables businesses to:

• Monitor real-time location of vehicles via GPS tracking devices.
• View historical route data, trip logs, and driver behaviour reports.
• Set geofence alerts, speed alerts, and other automated notifications.
• Manage drivers, vehicles, and user access through a centralised dashboard.
• Access live dash cam video streaming from in-vehicle cameras (where hardware supports it).
• Retrieve CAN bus diagnostic data from compatible heavy equipment and commercial vehicles.

The Service is provided on a subscription basis. Features available to you depend on the subscription plan you have purchased.

Registration To use the Service, you must register for an account and provide accurate, complete, and current information. You agree to update your information promptly if it changes.

Account Security You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must: - Use a strong, unique password for your AahaGPS account. - Not share your credentials with unauthorised individuals. - Notify us immediately at [email protected] if you suspect unauthorised access to your account.

Sub-Users You may create sub-user accounts for members of your organisation. You are responsible for ensuring all sub-users comply with these Terms and for any actions they take within your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

Subscription Plans AahaGPS offers tiered subscription plans as described on our Pricing page. Plan features, device limits, and data retention periods vary by tier.

Billing Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are exclusive of applicable taxes (including GST), which will be added where required by law.

Payment Payment is processed securely through our payment provider. By providing payment details, you authorise us to charge the applicable fees on the billing cycle you have chosen.

Renewals Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You will receive a reminder before renewal.

Refunds Subscription fees are non-refundable except where required by applicable law or as expressly stated in our refund policy. If you cancel mid-period, you retain access to the Service until the end of the paid period.

Price Changes We may change subscription prices with at least 30 days' written notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to track individuals without their knowledge or consent where required by law.
• Install tracking devices in vehicles you do not own or have authority to monitor.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, spam, or any harmful content.
• Resell, sublicense, or commercially exploit the Service without our written consent.
• Use the Service in any way that violates applicable Indian or international laws.
• Interfere with or disrupt the integrity or performance of the Service.

Driver & Employee Monitoring If you use the Service to monitor employees or drivers, you are solely responsible for: - Complying with all applicable employment, privacy, and data protection laws. - Informing employees and drivers that tracking is in operation. - Obtaining any required consents from individuals being monitored.

AahaGPS is not liable for any claims arising from your failure to comply with these obligations.

Customer-Supplied Hardware Where you use third-party GPS tracking devices or dash cam hardware with the Service, you are responsible for ensuring the hardware is compatible, properly installed, and maintained in accordance with the manufacturer's instructions.

AahaGPS-Supplied Hardware Where AahaGPS supplies hardware as part of a plan or purchase: - Title to hardware passes to you upon full payment. - Hardware is covered by the manufacturer's warranty. AahaGPS does not provide additional hardware warranties unless expressly stated. - You are responsible for the safe installation and use of hardware in your vehicles.

CAN Bus Integration CAN bus data features require compatible vehicle ECUs and appropriate hardware interfaces. AahaGPS does not guarantee compatibility with all vehicle makes and models. You are responsible for ensuring CAN bus integration is performed by a qualified technician and does not void your vehicle's warranty.

Your Data You retain ownership of all vehicle tracking data, driver data, and other data generated through your use of the Service ("Customer Data"). You grant AahaGPS a limited licence to process Customer Data solely to provide and improve the Service.

Our Use of Data We will not sell your Customer Data to third parties. We may use anonymised, aggregated data for product improvement and analytics. Our full data practices are described in our Privacy Policy at https://aahagps.com/privacy.

Data Portability You may export your Customer Data at any time through the platform's export features. Upon termination of your account, we will retain your data for 90 days to allow for reactivation or export, after which it will be securely deleted.

Data Processing Agreement For customers subject to data protection regulations, a Data Processing Agreement (DPA) is available upon request at [email protected].

AahaGPS IP The Service, including its software, design, trademarks, logos, and content, is owned by Aahatec and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Licence to Use Subject to your compliance with these Terms and payment of applicable fees, AahaGPS grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the subscription term.

Feedback If you provide suggestions, ideas, or feedback about the Service, you grant AahaGPS a perpetual, royalty-free licence to use that feedback without restriction or compensation to you.

Uptime We aim to provide a reliable Service but do not guarantee uninterrupted availability. Scheduled maintenance, updates, and circumstances beyond our control may cause temporary downtime. We will endeavour to provide advance notice of planned maintenance.

Support Customer support is available via email at [email protected] and through our contact form. Response times vary by plan tier. We do not guarantee resolution times for all issues.

Modifications We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not materially reduce the core functionality of your subscribed plan without offering a proportionate remedy.

Disclaimer of Warranties The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that GPS location data will be accurate at all times, as accuracy depends on satellite coverage, hardware quality, and environmental factors.

Limitation of Liability To the maximum extent permitted by applicable law, AahaGPS's total liability to you for any claims arising under or related to these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

In no event shall AahaGPS be liable for: - Indirect, incidental, special, consequential, or punitive damages. - Loss of profits, revenue, data, or business opportunities. - Damages arising from your reliance on GPS data for safety-critical decisions. - Losses caused by third-party hardware failures or connectivity issues.

Safety-Critical Use GPS tracking data must not be used as the sole basis for safety-critical decisions. You are responsible for maintaining appropriate safety procedures independent of the Service.

You agree to indemnify, defend, and hold harmless AahaGPS, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service in violation of these Terms.
• Your violation of any applicable law or regulation.
• Your failure to obtain required consents for driver or employee monitoring.
• Any claim by a third party arising from your use of Customer Data.

By You You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period.

By AahaGPS We may suspend or terminate your account immediately if: - You materially breach these Terms and fail to remedy the breach within 14 days of notice. - You use the Service for illegal purposes or in a way that harms others. - Payment of subscription fees is overdue by more than 30 days. - We are required to do so by law.

Effect of Termination Upon termination, your right to access the Service ceases. We will retain your Customer Data for 90 days to allow export, after which it will be deleted. Sections of these Terms that by their nature should survive termination (including Sections 8, 10, 11, and 13) will continue to apply.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Ahmedabad, Gujarat, India.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Notify active subscribers by email at least 14 days before the changes take effect.
• Display a notice on our website or within the platform.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

Entire Agreement These Terms, together with our Privacy Policy and any applicable Order Form or Data Processing Agreement, constitute the entire agreement between you and AahaGPS regarding the Service and supersede all prior agreements.

Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.

Force Majeure Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, or telecommunications failures.
